At today\u2019s share price of ~$376, those shares are worth over $114 billion.<\/p>\n<p>The filing confirms what many expected after the Delaware Supreme Court restored the award in December: the years-long legal fight over the largest executive compensation deal in corporate history is officially over.<\/p>\n<p><span id=\"more-464980\"\/><\/p>\n<h2 class=\"wp-block-heading\" id=\"h-from-delaware-courtroom-to-sec-filing\">From Delaware courtroom to SEC filing<\/h2>\n<p>The 2018 CEO Performance Award was designed as an all-or-nothing bet. Tesla\u2019s board granted Musk options to buy 304 million shares (split-adjusted) at $23.34 per share, contingent on Tesla hitting 12 escalating market cap and operational milestones. Musk reached the final milestone in December 2021.<\/p>\n<p>But in January 2024, Delaware Chancery Court Judge Kathaleen McCormick <a href=\"https:\/\/electrek.co\/2024\/01\/30\/elon-musk-billion-tesla-ceo-compensation-voided-by-judge\/\">voided the entire package<\/a>, ruling that the board\u2019s approval process was deeply flawed. The court found that Musk effectively controlled the negotiation of his own pay through personal relationships with board members \u2014 a textbook governance failure.<\/p>\n<p>\t<span class=\"outbrain-ad-label\">Advertisement &#8211; scroll for more content<\/span><\/p>\n<p>Tesla responded by <a href=\"https:\/\/electrek.co\/2024\/04\/17\/tesla-asks-shareholders-move-texas-and-re-pass-elon-musk-compensation-plan\/\">asking shareholders to reincorporate in Texas and vote again<\/a> on the same package. The company even <a href=\"https:\/\/electrek.co\/2024\/05\/13\/tesla-spends-ad-money-influence-shareholders-approval-elon-musk-55b-payday\/\">spent advertising money to push shareholders toward a \u201cyes\u201d vote<\/a>. In June 2024, <a href=\"https:\/\/electrek.co\/2024\/06\/13\/musk-claims-both-controversial-tesla-shareholder-votes-passed\/\">shareholders approved the package a second time<\/a>.<\/p>\n<p>That still wasn\u2019t enough. <a href=\"https:\/\/electrek.co\/2024\/12\/02\/judge-shuts-down-teslas-attempt-to-reinstate-elon-musks-giant-ceo-pay-package\/\">Judge McCormick shut down the attempt<\/a> in December 2024, ruling that a shareholder revote couldn\u2019t retroactively fix the original disclosure failures.<\/p>\n<p>The turning point came a year later. In December 2025, the <a href=\"https:\/\/electrek.co\/2025\/12\/20\/delaware-court-reinstates-musks-55b-pay-package-penalizes-him-1-instead\/\">Delaware Supreme Court reversed the lower court<\/a>, finding that full rescission was too extreme a remedy. The justices ruled it would be \u201cinequitable\u201d not to compensate Musk for the six years he performed work under the award.<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-tesla-moves-fast-once-the-legal-path-clears\">Tesla moves fast once the legal path clears<\/h2>\n<p>With the Delaware ruling in hand, Tesla moved quickly. On April 21, Tesla\u2019s board signed an \u201cImplementation Agreement\u201d to execute the 2018 award \u2014 and on the same day, revoked the <a href=\"https:\/\/techcrunch.com\/2026\/04\/23\/tesla-drops-musks-29b-interim-award-after-delaware-court-restored-larger-pay-package\/\">$29 billion interim pay package<\/a> it had created last year as a hedge while the original deal was in limbo.<\/p>\n<p>Three days later, on April 24, CFO Vaibhav Taneja signed the S-8 filing with the SEC \u2014 the formal registration of 303,960,630 shares of common stock for delivery to Musk.<\/p>\n<p>The board added some guardrails. Musk must remain CEO or a product development executive at Tesla through at least 2028 for the shares to vest, and he\u2019s required to hold them for five years to \u201cmitigate any negative impact of significant share sales on the Company.\u201d<\/p>\n<p>Tesla also disclosed $9.97 billion in unrecognized stock-based compensation expense related to the award \u2014 a charge that will hit the company\u2019s earnings over coming quarters.<\/p>\n<p>And this is just the 2018 package. In November 2025, <a href=\"https:\/\/www.cnbc.com\/2025\/11\/06\/tesla-shareholders-musk-pay.html\">shareholders approved an even larger compensation plan<\/a> worth up to $1 trillion if Tesla hits a dozen new performance milestones over the next decade. That package would grant Musk an additional 424 million shares.<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-electrek-s-take\">Electrek\u2019s Take<\/h2>\n<p>Elon Musk won this one. He convinced Tesla shareholders to approve his pay not once, but twice, and the Delaware Supreme Court ultimately sided with him. Give credit where it\u2019s due \u2014 that\u2019s a hard-fought legal and corporate victory.<\/p>\n<p>But the governance concerns that led to the original lawsuit? They\u2019re all still valid. Judge McCormick found that Tesla\u2019s board was too close to Musk to negotiate his compensation at arm\u2019s length. That board dynamic hasn\u2019t changed. If anything, it\u2019s gotten worse \u2014 the same board just approved a <a href=\"https:\/\/electrek.co\/2025\/10\/25\/elon-musks-1-trillion-stock-award-gets-more-ridiculous-the-more-you-look-into-it\/\">$1 trillion follow-up pay package<\/a> \u2013 another deal he basically negotiated with himself, which is the new norm at Elon Corps.<\/p>\n<p>And Tesla shareholders are paying the price for Musk\u2019s leadership in ways that go well beyond dilution. Tesla\u2019s stock has been trading essentially sideways for four years and has consistently underperformed the broader market. There\u2019s only one person to blame for that: Elon Musk himself.<\/p>\n<p>He let Tesla\u2019s massive EV lead slip away by <a href=\"https:\/\/electrek.co\/2026\/04\/22\/tesla-elon-musk-unsupervised-fsd-consumer-cars-q4-delay-again\/\">obsessing over autonomy<\/a> at the expense of the core vehicle business. <a href=\"https:\/\/electrek.co\/2026\/01\/02\/byd-crushes-tesla-all-electric-sales-for-2025-secures-global-bev-crown\/\">BYD officially crushed Tesla in global all-electric sales in 2025<\/a>, outselling it by over 600,000 units. <a href=\"https:\/\/electrek.co\/2026\/02\/24\/tesla-eu-registrations-crash-january-2026-bev-growth\/\">Tesla registrations in Europe crashed<\/a> last year while the overall BEV market surged. In China, Tesla <a href=\"https:\/\/electrek.co\/2026\/01\/05\/tesla-squeezed-by-competition-in-china-confirms-first-year-sales-decline\/\">confirmed its first year of sales decline<\/a>.<\/p>\n<p>Along the way, Musk created immense legal liability for Tesla by selling customers a technology that is obviously not ready. Tesla now faces <a href=\"https:\/\/electrek.co\/2026\/04\/16\/tesla-facing-up-to-14-billion-lawsuits-deep-dive\/\">up to $14.5 billion in lawsuits<\/a> \u2014 many tied to Autopilot and FSD crashes, false advertising claims, and <a href=\"https:\/\/electrek.co\/2026\/01\/08\/elon-musk-moves-goalpost-again-admits-tesla-needs-10-billion-miles-safe-unsupervised-fsd\/\">Musk\u2019s own admission<\/a> that millions of vehicles with Hardware 3 can never achieve the \u201cFull Self-Driving\u201d capability that was promised to buyers.<\/p>\n<p>So yes, Musk gets his 304 million shares.
